These terms are an agreement between KERA Tech Solutions L.L.C., a company registered in Kosovo and based in Prizren, which operates ClaimParrot, and the organization that uses ClaimParrot ("you"). "ClaimParrot", "we", "us", and "our" mean KERA Tech Solutions L.L.C..
If you accept these terms for an organization, you confirm that you are authorized to bind it. ClaimParrot is sold to businesses for business use. It is not a consumer service, and it is not for patients or members appealing their own claims.
Send legal notices to legal@claimparrot.com and other questions to hello@claimparrot.com.
What ClaimParrot is
ClaimParrot is software for behavioral-health insurance denial appeals, sold to businesses such as providers, treatment programs, and billing and revenue-cycle companies. You submit a de-identified summary of a denial; the ClaimParrot packet engine drafts an appeal packet (an appeal letter, an evidence checklist and a deadline plan, plus a criteria crosswalk and a peer-to-peer brief for level-of-care packets); a person checks the draft for completeness and consistency with what you submitted; and the packet is released to your ClaimParrot account or work email as editable files.
The human check is a quality step inside the software service. It is not legal, medical, coding or clinical review, and it does not replace review by your own qualified staff.
Accounts and authorized users
You must be at least 18 years old to use ClaimParrot. Give access only to your own staff and contractors who need it, keep sign-in details confidential, and tell us promptly at security@claimparrot.com if you suspect unauthorized use. You are responsible for activity under your account.
You are responsible for the accuracy and legality of the information you submit, and for making sure you are allowed to share it with us.
De-identified information only
You must not submit protected health information or any other information that identifies a patient, in a request, a file, the workspace or an email to us. We do not sign business associate agreements, and you must not use ClaimParrot in a way that would require one.
The request form and our systems check for common identifiers, but those checks are a backstop, not a guarantee: de-identifying the summary is your responsibility. If a request, file or email reaches us with patient identifiers anyway, we delete it without drafting, tell you, and ask you to send a de-identified version. Requests that contain identifiers are deleted without being processed. Packets come back with bracketed placeholders, such as [Member name], that your team fills in inside your own systems.
Your review of every packet
Packets and other outputs are drafts produced with AI and checked by a person. They can still be incomplete or wrong. Before anything goes to a payer, a qualified clinician or other authorized person at your organization must check every statement against the medical record, fill in the placeholders, attach the records, sign, and submit the appeal on time. ClaimParrot does not submit appeals or contact payers for you.
You are responsible for following your payer contracts and each payer's appeal rules, including any rule that an appeal must be prepared or submitted by a person, and for meeting deadlines.
ClaimParrot may log prompts, model names, responses, latency, token counts, and related case context for compliance, debugging, quality, and safety purposes.
Not a law firm, insurer, or healthcare provider
ClaimParrot provides software and informational content. ClaimParrot is not a law firm. It does not provide legal advice, medical advice, clinical or coding determinations, or medical-necessity or level-of-care decisions, and it does not guarantee any claim or appeal outcome.
Complex, high-value, urgent, or disputed matters should be reviewed by an attorney, a qualified clinician, a certified coder or another qualified professional.
Acceptable use
You must not: submit patient identifiers or other protected health information; submit false or misleading information, or use ClaimParrot to support a fraudulent claim or appeal; upload malware, or probe, scan, overload or try to gain unauthorized access to ClaimParrot or its providers; scrape, copy or reverse engineer the service, or use it to build a competing product; resell or share access except as allowed for billing partners below; impersonate anyone or misrepresent your authority; use ClaimParrot to harass anyone or to infringe anyone's privacy or intellectual property; or use it in breach of any law, including export-control and sanctions law.
We may limit, suspend, or terminate access for activity that threatens users, providers, infrastructure, legal compliance, or product integrity.
Prices, payments and subscriptions
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Paddle's buyer terms (paddle.com/legal/checkout-buyer-terms) apply to the purchase, payment, taxes and invoicing of your order. Questions about the product itself go to hello@claimparrot.com.
Prices are listed in US dollars on claimparrot.com/pricing. Sales tax or VAT is added at checkout where it applies, and the total is shown before you pay.
Appeal packets are charged per packet, and your first packet is free (the expedited fee still applies if you choose expedited delivery). Single packets are billed through Paddle after delivery, on a monthly invoice. Appeal Desk plans are monthly subscriptions paid in advance that renew automatically each month until canceled. Billing partners are invoiced monthly for the packets they ordered, and a new partner's first 5 packets are free. The design-partner pilot is a one-time fee.
You can cancel a subscription at any time from Billing in your workspace or from the Paddle customer portal linked in your receipt. Cancellation takes effect at the end of the current billing period, and you keep access until then.
Refunds are covered by our Refund Policy (claimparrot.com/refund-policy): you can request a full refund within 30 days of any payment. If a delivered packet could not be used, tell us and we will not charge for it, or will refund it if it has already been paid. Statutory rights in your country, such as the 14-day withdrawal right for consumers in the EU, EEA, UK and Switzerland, always apply where they give you more.
We may change prices for future orders and future billing periods. For an active subscription we will email you at least 30 days before a new price applies, and you can cancel before then. A price change never affects a period you have already paid for.
If a renewal payment fails, Paddle may retry the charge. We may suspend paid features if payment ultimately fails or if use creates security, compliance, or fraud risk.
Turnaround and delivery
Turnaround times are targets in business days from receipt of a complete request, as listed on the pricing page. If we cannot prepare a packet, for example because the request contains identifiers or falls outside the denial types we support, we tell you and you are not charged for it.
Packets are released to your ClaimParrot account or to the work email you gave. Keep your own copy: account requests and packets are deleted automatically 12 months after the request, as described in our Privacy Policy.
Billing partners
Billing and revenue-cycle companies that buy partner packets may deliver them to their own clients under their own brand. A partner must make sure each request it sends is de-identified and authorized by its client, must pass on the limits in these terms (drafts only; no legal, medical or coding advice; no outcome guarantee; review and signature by the client's clinician), and remains responsible to us for the requests it sends.
Design-partner workspace
A design-partner pilot gives your team access to the ClaimParrot workspace for the agreed period, on fictional or properly de-identified cases only. Where the workspace offers email, fax or mail delivery, those run through third-party networks whose delivery times and rules are outside ClaimParrot's full control, and you are responsible for confirming recipients and deadlines before sending.
Intellectual property and your packets
ClaimParrot software, design, prompts, templates, brand assets, and documentation are owned by ClaimParrot or its licensors. These terms give you the right to use the service, and no other rights in them.
You keep your rights to the information you submit. Once a packet is delivered, you may use, copy, edit and submit it, and a billing partner may pass it to its client, without further payment. To the extent we have rights in the packet text written for you, we grant them to you; standard wording and templates we use for many customers remain ours, and you may use them as part of your packets.
You grant ClaimParrot the rights needed to host, process, transmit, and deliver your content to provide and secure the service. We may use aggregated statistics that identify neither you nor any patient, such as counts of denial types, to run and improve ClaimParrot.
If you send us feedback or suggestions, we may use them without any obligation to you. We will not name you as a customer or publish a case study about you without your written permission.
Confidentiality
Each party will use the other's confidential information only to perform or receive the service, protect it with at least reasonable care, and share it only with staff, contractors and service providers who need it and are bound to keep it confidential. Your requests, case text and packets are your confidential information; our non-public pricing, product plans and security information are ours.
This does not cover information that is or becomes public through no fault of the receiving party, was already known to it, is independently developed, or is lawfully received from someone else. A party may disclose confidential information when the law requires it, after notifying the other party where the law allows.
Data protection
Our Privacy Policy (claimparrot.com/privacy) explains how we handle personal data as a controller. Our Data Processing Addendum (claimparrot.com/dpa) forms part of these terms and applies to any personal data we process on your behalf; you don't need to sign it, and we will countersign a copy if your organization needs one. The providers we use are listed at claimparrot.com/subprocessors.
Third-party services
ClaimParrot relies on third parties such as Paddle and our hosting and email providers, and your appeals go through payers' own portals, fax lines and mail. We are not responsible for services we don't control, and your use of a third party's service is governed by its terms.
Suspension and termination
You can stop using ClaimParrot at any time and ask us to close your account by writing to hello@claimparrot.com. Canceling a subscription is covered above.
We may suspend access if payment ultimately fails, if patient identifiers are submitted repeatedly, or if your use creates a security, legal or fraud risk. We will tell you why and restore access once the issue is resolved. Either party may end these terms if the other materially breaches them and does not cure the breach within 30 days of written notice.
When the service ends, your access ends, fees already owed remain payable, and your data is deleted as described in the Privacy Policy and the Data Processing Addendum, so download any packets you want to keep first. Sections that by their nature should continue, such as fees owed, intellectual property, confidentiality, disclaimers, limitation of liability, indemnities and governing law, survive the end of the service.
Warranties and disclaimers
We will provide ClaimParrot with reasonable skill and care and substantially as described on our website. If a packet does not meet that standard, tell us within 30 days of delivery and we will correct it or, if we cannot, refund what you paid for it. This does not limit your rights under the Refund Policy.
Apart from that, the service is provided as is and as available. To the fullest extent the law allows, we disclaim all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted or error-free operation, claim or appeal success, regulatory fit for every jurisdiction, and error-free AI output.
Limitation of liability
To the fullest extent allowed by law, neither party is liable to the other for indirect, incidental, consequential, special, punitive, or lost-profit damages, or for lost revenue, reimbursement or data, even if it was told they were possible. ClaimParrot is not liable for a payer's coverage or payment decision, or for a deadline missed, because your organization decides whether, when and how to submit an appeal.
Each party's total liability arising out of or relating to these terms is limited to the amount you paid for ClaimParrot in the 12 months before the event giving rise to the claim, or USD 100 if you paid nothing.
These limits do not apply to your obligation to pay fees, to liability for fraud, gross negligence or wilful misconduct, or to any liability that the law does not allow to be limited or excluded.
Indemnities
We will defend you against any third-party claim that the ClaimParrot software, or our standard materials in a packet as we delivered them, infringe that third party's intellectual property rights, and pay the damages and costs finally awarded or agreed in settlement. This does not apply to claims caused by your content, your changes, or combining ClaimParrot with something we did not provide. If such a claim is made, we may modify the service, obtain a licence, or end the affected service and refund prepaid fees for the unused period.
You will defend us against any third-party claim arising from the information you submit (including patient identifiers sent in breach of these terms), from appeals or other documents your organization submits, or from your breach of law or of the acceptable-use rules, and pay the damages and costs finally awarded or agreed in settlement.
The party asking for a defense must notify the other promptly, let it control the defense and any settlement (a settlement may not admit fault on the protected party's behalf without its consent), and cooperate reasonably. These indemnities are subject to the limitation of liability above, except where the law does not allow that.
Changes to the service and to these terms
We improve ClaimParrot continuously and may change features. We will not materially reduce the core features of a subscription during a period you have already paid for.
We post changes to these terms on this page and update the version and date above. For a change that materially affects you, we will email account holders at least 30 days before it takes effect, unless the change is required by law or concerns a new feature, in which case it may apply sooner. If you do not agree, you can cancel before the change takes effect and receive a refund of any prepaid fees for the period after that date. Continuing to use ClaimParrot after a change takes effect means you accept the updated terms; a change never applies retroactively to a payment you already made.
Governing law and disputes
These terms, and any dispute about them or about ClaimParrot, are governed by the laws of the Republic of Kosovo, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Before starting proceedings, write to legal@claimparrot.com and give the other party 30 days to try to resolve the dispute in good faith. The competent courts of the Republic of Kosovo have exclusive jurisdiction: the Commercial Court of Kosovo for a dispute between businesses, and otherwise the Basic Court of Prizren. Either party may ask any court with jurisdiction for urgent interim relief, for example to protect confidential information or intellectual property.
If you are a consumer, nothing in this section takes away the protection of the mandatory laws of the country where you live, or your right to bring proceedings in its courts.
Notices
We send notices to the email address on your account or order; they count as received when sent unless we get a delivery failure. Send notices to us at legal@claimparrot.com. Postal correspondence: KERA Tech Solutions L.L.C., Prizren, Kosovo.
General terms
Assignment: you may not transfer these terms without our written consent, except to a successor of your whole business after notifying us. We may transfer them to an affiliate or to a successor of our business, and will tell you if we do.
Events beyond control: neither party is responsible for a delay or failure caused by events beyond its reasonable control, such as outages of internet, hosting or payment providers, natural disasters, war or government action. Payment obligations are not excused.
Independent parties: we are independent contractors. Nothing in these terms creates a partnership, agency, employment or fiduciary relationship, and there are no third-party beneficiaries.
Entire agreement and order of precedence: these terms, together with the Refund Policy, the Data Processing Addendum and any order form we both sign, are the whole agreement about ClaimParrot and replace earlier discussions. If they conflict, a signed order form prevails, then the Data Processing Addendum on data protection matters, then these terms. Paddle's buyer terms govern the purchase transaction itself.
Severability and waiver: if any part of these terms is unenforceable, the remaining terms continue to apply, and the unenforceable part is applied as far as the law allows. Not enforcing a right is not a waiver of it.
Language: these terms are written in English, and the English version controls.
